Terms of Service – Astrah OS

These Terms of Service (“Terms”) govern your access to and use of Astrah OS (the “Service”), including our website, platform, and related services.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

These Terms exist to protect the reliability, security, and operational integrity of Astrah OS for all customers.

Definitions

“Account” means your Astrah OS account and login credentials.
“Workspace” means the environment created for your organization within Astrah OS.
“Customer Data” means business data, content, files, records, messages, and materials submitted to the Service by you or your users.
“AI Features” means AI-assisted tools within Astrah OS that generate summaries, recommendations, classifications, drafts, or other outputs.
“Output” means content generated by AI Features based on Customer Data or user input.
“Third-Party Services” means external services connected to Astrah OS, including but not limited to WhatsApp providers, email providers, payment gateways, Make.com, and cloud infrastructure services.

Access and License

Astrah OS grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for your internal business operations during an active subscription term.

Your use of the Service is subject to:

These Terms
Your selected subscription plan, limits, and usage caps
The Astrah OS Privacy Policy
Any applicable Acceptable Use Policy (AUP), if published

We may update or modify the Service from time to time to improve security, performance, or functionality.

Your Responsibilities

You are responsible for all activity that occurs under your Account and Workspace, including actions taken by your users.

You agree to:

Maintain the confidentiality and security of login credentials
Ensure all users comply with these Terms
Provide accurate and current account and billing information
Use the Service only for lawful business purposes
Comply with all applicable laws and regulations, including data protection, marketing, and communications laws

You are responsible for obtaining all necessary permissions, rights, and consents to upload and process Customer Data, including communication content when connecting Third-Party Services.

Acceptable Use

You may not, and may not allow others to:

Use Astrah OS for unlawful, fraudulent, deceptive, or harmful activities
Interfere with or disrupt the Service, infrastructure, security, or other customers
Attempt unauthorized access to any system, Workspace, or data
Reverse engineer, decompile, or attempt to derive the Service source code, except where prohibited by law
Transmit malware, abusive traffic, or exploit vulnerabilities
Use the Service to send spam or unsolicited messages in violation of applicable laws or platform rules
Violate the acceptable use policies or terms of any integrated Third-Party Service, including but not limited to WhatsApp Business Policy, Meta Commercial Terms, or Google API Services User Data Policy

We reserve the right to suspend, restrict, or terminate access where necessary to protect the security, integrity, availability, or reputation of the Service, its integrations, or other customers.

Customer Data and Ownership

You retain full ownership of your Customer Data. Astrah OS does not claim ownership over the business data, files, or content you upload.

You grant Astrah OS a limited right to host, process, and transmit Customer Data solely as necessary to:

Provide and operate the Service
Maintain security and system integrity
Provide support and troubleshooting
Comply with legal and contractual obligations

Customer Data is handled in accordance with the Astrah OS Privacy Policy.

AI Features and Output

Astrah OS includes AI Features designed to assist with operational intelligence and decision support.

Important limitations apply:

AI Outputs are provided for assistance only and must be reviewed before use
Outputs may be incomplete, inaccurate, or unsuitable for your specific use case
You remain responsible for compliance with laws, contracts, and professional obligations when using Outputs
Astrah OS does not provide legal, financial, or regulatory advice
Customer Data is not used to train public or third-party AI models unless explicitly agreed in writing

Third-Party Services and Integrations

The Service allows integration with Third-Party Services. Your use of such services is governed by their own terms and policies.

Astrah OS is not responsible for:

Outages, restrictions, bans, or policy changes imposed by Third-Party Services
How Third-Party Services process, store, or retain data
Limitations on historical data access caused by Third-Party platforms

Changes to Third-Party Services may impact functionality until integrations are updated.

Plans, Limits, and Billing

Your subscription plan defines pricing, features, limits, and usage caps.

Unless stated otherwise at checkout or in an Order Form:

Fees are billed in advance on a recurring basis (monthly or annually)
Applicable taxes may apply
Failure to pay may result in suspension or termination

Free trials, if offered, convert to paid subscriptions unless canceled before the trial period ends, under the terms presented at signup.

Refunds, if any, are governed by the terms presented at purchase or in a separate agreement.

Service Availability

Astrah OS is designed for high availability and operational resilience. Unless a separate written Service Level Agreement (SLA) exists, the Service is provided on an “as is” and “as available” basis.

We do not guarantee uninterrupted or error-free operation at all times.

Temporary suspensions may occur for maintenance, security issues, emergency updates, or risk mitigation.

Intellectual Property

Astrah OS retains all rights, title, and interest in the Service, including software, architecture, algorithms, interfaces, designs, and documentation.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service except as expressly permitted by these Terms.

Confidentiality

Each party agrees to protect the other party’s non-public information and to use it solely for purposes related to providing or using the Service, unless disclosure is required by law.

Termination and Data Export

You may stop using Astrah OS at any time, subject to your subscription terms.

We may suspend or terminate access if:

These Terms are violated
Use threatens system security, integrity, availability, or reputation
Required by law
Fees remain unpaid

Upon termination or expiration:

Access to the Service may be removed
Customer Data may be deleted after a reasonable period unless legally required to retain it
Data export options may be available depending on plan and configuration

Enterprise retention or export obligations must be defined in a separate written agreement.

Limitation of Liability

To the fullest extent permitted by law, Astrah OS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption.

Astrah OS’s total liability for direct damages shall not exceed the fees paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so these limits may not apply in full.

Changes to These Terms

We may update these Terms to reflect changes in the Service, legal requirements, or operational practices.

Material changes will be communicated via the website or platform. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC).

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the DIFC Courts.
